Fund structure
AllocationsX Capital Limited (“AXCL”) welcomes you to an investment opportunity to gain exposure to preferred shares of Anthropic, offered via a Single Asset Fund (the “Fund”).
Structure
The Fund is a Delaware Series LLC, administered by AllocationsX Fund Administration Inc. and managed by an external fund manager. This fund structure has one manager layer, indicating that the manager controls the vehicle that directly owns the shares of the portfolio company.
- Units of the Anthropic Fund are priced at $61.00 per unit.
- The price per unit includes a one-time upfront management fee paid to the fund manager (“Upfront Management Fee”) of $2.90/unit (4.75%).
- One unit of the Anthropic Fund will correspond to one share of Anthropic.
Fees
- The Anthropic Fund will charge a 4.75% upfront management fee, 0% ongoing management fee, and 0% carried interest.
- A one-time upfront brokerage fee of 5% will be payable to AXCL at closing. As a result, the effective Brokerage Fee reflected on the platform is 4.7625%.
- AllocationsX Fund Administration will charge a one-time fee of 1.5% on any distribution.
Subsequent liquidity
- Units of the Anthropic Fund may be listed for sale by the investor on the AXCL platform after a 180-day holding period, subject to consent of the Fund Manager and AXCL discretion.
- AXCL makes no guarantees that there will be a buyer at any price; investments in private securities are inherently illiquid, and the investor must be prepared to hold their Shares indefinitely.
- Brokerage fees will apply to any successful sale.
Admission
AllocationsX Plus members will be admitted to AllocationsX Investments funds on a priority basis. All investors will be admitted at AllocationsX’s sole discretion based on a variety of factors including the size of their proposed investment, the date on which they sign their investment documentation, and the date on which they fund their investment. A portion of each fund is reserved for AllocationsX employees.
